  1. Acceptance of Terms By using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated herein.
  2. Eligibility You must be at least 16 years old to use the Service. By using the Service, you confirm that you meet this age requirement.
  3. Definitions These terms are used throughout this Terms of Service document, and their definitions are provided here for clarity:
    • VocalStack ("we" or "us", or "our"): Refers to VocalStack, the company that provides the services described in these Terms of Service.
    • The User ("you" or "the user"): The person using VocalStack services. As a user, you are responsible for complying with these Terms, including but not limited to ensuring that your account information is accurate, safeguarding your account details, and using the services in accordance with all applicable laws. You also agree to bear full responsibility for all activities conducted through your account.
    • Your Account: Your account on VocalStack that you create by providing your registration information, and which uniquely identifies you as the party to whom these Terms of Service apply.
    • Plan Type: One of: "Hobby", "Premium", or "Enterprise". Your account will always be associated with one and only one plan type at any given time from the time the account is registered. If your account is terminated, it is not associated with a plan type. By default, upon account registration of a user account, the account will be associated with a Hobby plan until the user takes an action to upgrade to a Premium or Enterprise plan.
      • Plan Features: Capabilities or functionality offered as part of the plan type as defined in www.vocalstack.com/pricing. VocalStack users are only permitted to use VocalStack services and features specified in the plan associated with their account.
      • Plan Subscription: A paid contract between VocalStack and the user for the Premium or Enterprise plans for a period of time (monthly or yearly) during which time VocalStack agrees to provide a set number of features at a set price for the entire period of time. Hobby plans cannot have a subscription. The only way that a user account can be associated with a plan other than Hobby is for a user to obtain a paid subscription for the Premium or Enterprise plan type.
      • Plan Pricing: Premium and Enterprise plan subscriptions involve a recurring cost, billed either monthly or yearly, depending on the chosen billing cycle. Yearly subscriptions include a discount.
    • Transcription: A process of converting spoken audio into written text using VocalStack's services.
      • Transcription Audio: The original audio content, before it is transcribed, uploaded to the VocalStack service either through the Dashboard or the API
      • Transcription Type: This refers to the nature of the speech being transcribed, which can be one of the two following categories: (1) Pre-recorded transcription (i.e. from a file or from a URL), or, (2) Live Transcription (i.e. from a microphone or live stream)
      • Transcription Hour: This refers to one hour of speech transcribed, regardless of how long it takes to process the transcription. This can refer to either transcription type.
      • Transcription Rate: The cost it takes to transcribe one hour of speech. This cost depends on two factors: (1) The plan type, and, (2) The transcription type.
    • Services ("the platform"): The functionalities and offerings provided by VocalStack, including transcription features, API access, and the Dashboard, which collectively enable users to convert speech to text and manage their usage efficiently. These services are accessible only to users with an account, and the available services depend on the user's plan type.
      • Dashboard: A web interface accessible from a modern web browser at https://www.vocalstack.com/dashboard, through which you can use the plan features available to your account as per your plan subscriptions.
      • API: An interface provided by VocalStack that allows programmers to interact with the services programmatically. It provides functionality similar to the Dashboard but is specifically designed for developers to integrate VocalStack capabilities into their own applications or workflows.
        • API Key: A unique identifier used to authenticate requests to the VocalStack API. It allows users with an account to interact programmatically with VocalStack's services. Keep your API Key secure, as it grants access to your account's features and data.
        • SDK: A Software Development Kit provided by VocalStack that allows developers to integrate VocalStack's services into their own software. The SDK offers pre-built components and tools similar to the API but is designed for easier implementation. By using the SDK, you agree to comply with its separate terms and conditions, which you must read carefully. Use of the SDK also requires an API Key for authentication.       • Service Pricing: Services are priced the same regardless of whether features are accessed through the Dashboard or the API, ensuring consistency in pricing for all users, regardless of how they choose to use the platform.
  4. User Accounts
    • Account Registration: You must sign up for an account to access VocalStack services, by having a user account associated with a plan type.
    • Account Security: You are responsible for safeguarding your account details and for activities under your account. Notify VocalStack immediately if you suspect that someone may have access to your account login information or API Keys.
  5. Plan Types VocalStack offers three types of plans: Hobby, Premium, and Enterprise.
    • Plan Features: Not all features are available on all plans; please visit www.vocalstack.com/pricing to choose the plan with the features that best fits your requirements.
    • Plan Free Hours: All plans come with a set number of free transcription hours per month. You can view your free hours used, and free hours available at anytime by logging in to your VocalStack dashboard at www.vocalstack.com/dashboard. Unused free hours in a month do not roll over to the next month.
    • Subscription Billing: Subscribing to Premium and Enterprise plans will incur a fixed monthly cost as visible on www.vocalstack.com/pricing. This cost will be billed to you monthly at the end of each month.
    • Subscription Cancellation: You may cancel your Premium or Enterprise plan subscription at anytime. Access to the cancelled plan features continues until the end of the billing cycle. Refunds are not provided for the current billing period. If you have not renewed your subscription plan by the end of your billing cycle, then your account will revert back to a Hobby plan.
    • Additional Hours Billing: If you need more transcription hours than the ones included with your plan for free, additional usage will be billed at the transcription rate for your current plan. The billing process for additional hours depends on your plan:
      • Hobby Plan: You must pre-pay for additional transcription hours, which will be added to your account balance. Any unused credits will automatically roll over to the next month for continued use.
      • Premium and Enterprise Plans: Additional hours will be billed automatically at the end of each month, using the payment details provided during the subscription creation. VocalStack may bill earlier in cases of high usage. If automated billing fails for any reason, VocalStack reserves the right to suspend your account and access to services.
    • Changes in Plan Features and Costs:
      1. VocalStack reserves the right to change any Hobby plan related detail at any time, and without notice, and for these changes to take into effect immediately for user accounts associated with a Hobby plan. This includes, but is not limited to, plan free hours and transcription rate. Hobby plans are essentially a "pay-as-you-go" service with no commitment on either the user side or on VocalStack's side.
      2. VocalStack reserves the right to change Premium plan details at any time, and without notice, including but not limited to, plan free hours and transcription rate, but these changes will not go into effect for user accounts already associated with a Premium plan in perpetuity and will apply only to new plan subscriptions initiated after the change.
  6. Transcriptions and Ownership
    • You must have the legal rights or permissions to upload any transcription audio, ensuring it does not infringe on third-party rights.
    • You retain ownership of transcription audio uploaded to the VocalStack platform. By uploading transcription audio to VocalStack, you grant VocalStack a non-exclusive, royalty-free license to use it as necessary to provide our services.
  7. Transcriptions and Quality
    • The accuracy of transcriptions may vary and cannot be guaranteed. VocalStack employs advanced AI models, specifically OpenAI's Whisper large-v3, which represents a state-of-the-art approach in speech recognition technology. Despite this, transcription errors may occur due to factors including, but not limited to, transcription audio quality, background noise, or variations in speech.
    • Users may evaluate the service using the free transcription hours available in the Hobby plan before entering into a paid plan subscription. All payments made for the services are final and non-refundable. No refunds will be issued under any circumstances.
  8. Intellectual Property All content on the VocalStack website and VocalStack services is owned by VocalStack or its licensors. You agree not to copy, modify, or create derivative works without prior written consent.
  9. Disclaimer of Warranties The Service is provided "as is" and "as available." VocalStack disclaims all warranties, including fitness for a particular purpose or non-infringement. Transcriptions may not be flawless.
  10. Limitation of Liability To the fullest extent permitted by law, VocalStack is not liable for indirect, incidental, special, or consequential damages, including loss of data, profits, or goodwill resulting from your use of the Service.
  11. Indemnification You agree to indemnify VocalStack and its affiliates from claims, damages, or expenses arising from your use of the Service or violation of these Terms.
  12. Termination We may suspend or terminate your account for any reason, including breach of these Terms. Upon termination, you must cease using the Service and may not attempt to register another account.
  13. Governing Law These Terms are governed by the laws of England and Wales. You consent to the exclusive jurisdiction of the courts in England and Wales for disputes.
  14. Changes to Terms VocalStack may modify these Terms occasionally. Continued use of the service after changes indicates acceptance of the new Terms.
  15. Use of the Service
    • License: VocalStack grants a limited, non-exclusive, revocable license to use the Service in compliance with these Terms.
    • Prohibited Conduct: You agree not to use the Service for any unlawful activities, including but not limited to fraud, harassment, or violation of intellectual property rights. You must not attempt to disrupt or degrade the functionality of the Service, interfere with other users, or engage in activities that compromise the security of the platform. Any attempts to access data or systems without authorization, or to misrepresent your identity, are also forbidden.
